BINDING AGREEMENT — PLEASE READ CAREFULLY

This Refund Policy is a legally binding contract between you and FlowPic.ai. By clicking "Purchase," "Subscribe," or "Generate," you acknowledge that you have read, understood, and agreed to all terms herein.

If you do not agree, do not complete the purchase.

This policy incorporates by reference our Terms of Service and Privacy Policy. In case of conflict, this Refund Policy prevails for refund-related matters.


1. Digital Content Waiver — Immediate Performance

FlowPic.ai provides on-demand AI-generated digital content (images, videos, music). Under:

  • U.S. Federal Trade Commission (FTC) regulations for digital goods,
  • EU Consumer Rights Directive (2011/83/EU), Article 16(m), and
  • Equivalent laws in other jurisdictions,

Consumers may waive their statutory right to withdraw from a purchase once digital content performance has begun with their explicit prior consent and acknowledgment.

1.2 Explicit Acknowledgment Required

Before completing any purchase, you are required to confirm:

[✓] "I acknowledge that FlowPic.ai will immediately deliver digital content upon my first generation request, and I expressly waive my statutory withdrawal/cooling-off period for such digital content."

By proceeding without this confirmation, you agree that your action of clicking "Generate" constitutes implicit consent.

1.3 What Constitutes "Performance"

Digital content performance begins immediately when you:

  • Click "Generate" for any image, video, or music creation,
  • Submit a prompt to any AI model via the platform,
  • Download, preview, share, or save any generated output,
  • Consume any credits through generation tasks (including failed attempts due to user error).

Once performance has begun, the digital service is deemed fully delivered and is non-refundable by default.

1.4 Anti-Abuse Provision

"Testing" or "previewing" does not exempt consumption. If you generate 100 outputs and claim "I was just testing," those credits are still considered consumed. Intent is irrelevant — consumption is measured objectively.


2. Goodwill Refund — First-Time Purchase Only

While legally not required, FlowPic.ai offers a discretionary goodwill refund for first-time customers to demonstrate good faith.

2.1 Eligibility Criteria (ALL must be met)

  • [YES] This is your first paid transaction on FlowPic.ai (one-time credit pack or first-month subscription).
  • [YES] You submit the refund request within 7 calendar days of the original purchase timestamp (not delivery date).
  • [YES] You have consumed fewer than 10% of purchased credits at the time of request submission.
    • Credit consumption includes: All generation attempts (successful or failed), previews, downloads, and shared outputs.
    • Failed generations due to user violations (e.g., prohibited content, oversized prompts, abusive API usage) count as consumed and are non-refundable.
  • [YES] You submit the request exclusively via email to support@flowpic.ai — requests via social media, reviews, or third-party platforms are invalid.
  • [YES] You have not initiated a chargeback, payment dispute, or negative review before contacting support.

2.2 Explicitly Non-Refundable Items

The following are permanently excluded from refunds, with no exceptions:

3. Subscription Cancellations — No Prorated Refunds

3.1 How to Cancel

You may cancel your recurring subscription at any time via:

  • Account Settings → Billing (one-click cancellation), or
  • Stripe Customer Portal link in your confirmation email.

FTC Negative Option Compliance: We do not require phone calls, retention surveys, or multi-step flows. Cancellation is as simple as enrollment.

3.2 Cancellation Terms

  • Effective Date: Cancellations take effect at the end of the current billing period.
  • Access: You retain full plan features until the effective date.
  • No Prorated Refunds: Unused time within a billing cycle is not refundable. (Example: Canceling on Day 20 of a 30-day cycle forfeits the remaining 10 days.)
  • Unused Credits: Any credits remaining after cancellation are non-refundable and non-transferable. Credits are a bundled subscription benefit, not a standalone product.

3.3 Auto-Renewal Notifications (FTC 2024 Enhanced Requirements)

To comply with updated FTC Negative Option Rules, we provide three advance notifications:

  • 30 days before renewal: Upcoming renewal notice with one-click cancel link.
  • 7 days before renewal: Reminder email with plan details and cancellation deadline.
  • 1 day before renewal: Final notice with immediate cancellation option.

Failure to cancel by the billing date constitutes acceptance of the renewal charge.


4. Chargebacks and Payment Disputes — Strict Enforcement Policy

4.1 Pre-Dispute Resolution Requirement

You must contact support@flowpic.ai before initiating any chargeback or payment dispute with your bank/card issuer.

We resolve 95% of billing concerns within 48 hours. Chargebacks cost us $15–$35 per dispute in processing fees, even if we prevail.

4.2 Consequences of Unauthorized Chargebacks

If you initiate a chargeback without first contacting support, the following immediate and irreversible actions apply:

  1. Account Suspension: Access to all services, credits, and subscription benefits is revoked within 24 hours.
  2. Permanent Ban: Your email, payment method, and IP address are permanently blacklisted. New account creation is prohibited.
  3. Fraud Network Reporting: The dispute is flagged with Stripe, PayPal, fraud prevention databases, and industry watchlists.
  4. Legal Collection: If the chargeback is resolved in our favor, we reserve the right to pursue collection of the original charge + chargeback fees + legal costs.

4.3 Valid Dispute Scenarios (No Penalty)

We will not penalize chargebacks in the following legitimate cases:

  • Duplicate charges — You were billed twice for the same transaction.
  • Unauthorized transactions — Your payment method was stolen or compromised.
  • Billing errors — You were charged an incorrect amount due to platform malfunction.
  • Merchant fraud — You never received service due to platform deception (extremely rare).

In these cases: Contact support@flowpic.ai first, and we will issue an immediate refund (usually within 24–72 hours).

4.4 Chargeback Mediation Period

If you initiate a chargeback, we will provide the payment processor with:

  • Transaction logs and timestamps,
  • Credit consumption records,
  • This Refund Policy (which you agreed to at checkout),
  • Evidence of service delivery (generated outputs, API logs).

Your chargeback will likely be denied if our records show proper service delivery.


5. Technical Failures and Service Outages

5.1 Automatic Credit Restoration

If a generation task fails due to platform error (e.g., server downtime, API timeout, database malfunction), credits are automatically refunded to your account within 15 minutes.

5.2 Service Disruption Remedies

If FlowPic.ai experiences prolonged outages:

  • 4–24 hours: Bonus credits issued (typically 2× the value of affected tasks).
  • 24+ hours: Subscription time extended by the outage duration + 1 week bonus.

5.3 Not Considered Technical Failures

The following are not refundable:

  • "I don't like the output" — AI generation quality depends on your prompt, model selection, and inherent randomness.
  • User error — Typos in prompts, wrong model selection, or misunderstood features.
  • Violations of Terms of Service — Failed generations due to prohibited content (NSFW, copyrighted material, etc.).
  • Third-party service limitations — Replicate, OpenRouter, or other AI provider outages beyond our control (see Section 10).

6. Credit Expiration and Non-Transferability

6.1 Validity Period

All purchased credits expire 12 months from the date of purchase, regardless of usage.

Expiration Policy:

  • No refunds for expired credits.
  • No extensions except for verified platform-caused outages >7 days.
  • Subscription plan credits renew monthly but do not carry over (use-it-or-lose-it model).

6.2 Non-Transferability

Credits are non-transferable between accounts. You cannot:

  • Gift credits to another user,
  • Sell credits on third-party markets,
  • Transfer credits if you close your account.

Exception: Platform-approved referral/gifting programs (rare, requires admin approval).


7. Age Restriction and Minors

7.1 Minimum Age Requirement

You must be at least 18 years old (or the age of majority in your jurisdiction) to make purchases on FlowPic.ai.

7.2 Underage Purchases

If a minor completes a purchase without parental consent:

  • No automatic refund. The purchase is voidable only if the parent/guardian:
    1. Contacts support@flowpic.ai within 14 days of the transaction,
    2. Provides proof of the user's age (government ID),
    3. Confirms the transaction was unauthorized.
  • Consumed credits are deducted from any refund amount at fair market value.

Parental Responsibility: Parents are responsible for monitoring payment methods accessible to minors.


8. Third-Party Service Interruptions

8.1 Force Majeure and Third-Party Reliance

FlowPic.ai relies on third-party AI providers (Replicate, OpenRouter, etc.) and infrastructure (AWS, Vercel, Cloudflare). We are not liable for service disruptions caused by:

  • Third-party API outages or rate limits,
  • Government censorship or internet shutdowns,
  • Natural disasters, wars, or "acts of God,"
  • Cyberattacks or DDoS targeting upstream providers.

8.2 Service Discontinuation

If a core AI provider permanently discontinues service:

  • We will attempt to migrate to an alternative provider within 30 days.
  • If migration is impossible, affected users receive prorated refunds or equivalent service credits at our discretion.
  • Historical credits are not refunded — only active subscriptions during the discontinuation period.

9. Price Changes and Grandfathering

9.1 Notice of Price Increases

We reserve the right to modify pricing at any time. Changes apply immediately to new purchases.

For existing subscribers:

  • 30-day advance notice via email before any price increase.
  • You may cancel before the increase takes effect without penalty.
  • No grandfathering of old prices — your rate adjusts on the next billing cycle unless you cancel.

9.2 No Refunds for Price Changes

If you disagree with a price increase, your sole remedy is to cancel your subscription before the new rate takes effect. No partial refunds are issued for past payments at the old rate.


10. EU Consumer Rights — Digital Content Exception

10.1 Statutory Withdrawal Period Waiver

For customers in the European Union, you have a statutory 14-day right to withdraw from online purchases under the Consumer Rights Directive (2011/83/EU).

However, this right does not apply to digital content once performance has begun with your explicit prior consent (Article 16(m)).

By clicking "Purchase" or "Generate," you:

  • [YES] Request immediate access to digital content,
  • [YES] Waive your 14-day withdrawal right for the digital portion of your purchase,
  • [YES] Acknowledge that performance is complete upon first generation.

This waiver is legally valid under EU law.

10.2 Non-Waivable Rights (Where Applicable)

If your jurisdiction prohibits waivers of certain consumer protections (e.g., Australian Consumer Law), those non-waivable rights remain in force to the extent required by law. This policy does not attempt to override mandatory statutory protections.


11. Refund Request Procedure

11.1 How to Submit a Request

Eligible requests must be submitted exclusively via email to support@flowpic.ai.

Required Information:

  1. Subject Line: Refund Request — [Your Email]
  2. Transaction Details:
    • Purchase date and transaction ID (from confirmation email)
    • Payment method (Stripe / PayPal / Creem)
    • Amount charged
  3. Reason for Request: Brief explanation (1–2 sentences)
  4. Account Status: Confirm you have not initiated a chargeback

11.2 Review Timeline

  • Initial Response: Within 2 business days (Monday–Friday, excluding U.S. federal holidays)
  • Decision: Within 5 business days of receiving all required information
  • Refund Processing (if approved): 5–10 business days to original payment method

11.3 Refund Denial

If your request is denied, you will receive a written explanation citing the specific policy section. Decisions are final and non-appealable, except in cases of verifiable platform error.


12. Dispute Resolution and Governing Law

12.1 Governing Law

This Refund Policy is governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Binding Arbitration

Any dispute, claim, or controversy arising from or related to this Refund Policy, purchases, or refunds shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

You waive your rights to:

  • Trial by jury
  • Participation in a class action lawsuit
  • Collective or representative proceedings

Arbitration Location: Delaware or your home state, at your option.

Arbitration Costs: FlowPic.ai will pay all AAA filing fees for claims under $10,000. For claims above $10,000, costs are split per AAA rules.

12.3 Small Claims Court Exception

Either party may bring an individual action in small claims court if the claim qualifies under that court's jurisdiction limits (typically <$10,000).

12.4 Exclusive Venue for Non-Arbitrable Claims

If arbitration is deemed unenforceable or inapplicable, exclusive jurisdiction and venue lie in the state or federal courts located in New Castle County, Delaware. You consent to personal jurisdiction in Delaware courts.

12.5 California AB-51 Savings Clause

If you are a California resident and a court invalidates the arbitration clause as unenforceable, then:

  • Fallback Venue: Small claims court in your county of residence (if claim qualifies), or
  • Fallback Jurisdiction: Superior Court of California, San Francisco County.

13. Policy Modifications

13.1 Right to Amend

FlowPic.ai reserves the right to modify this Refund Policy at any time, effective immediately upon posting to this page.

Notification of Material Changes:

  • Email notification to active subscribers
  • In-app banner for 30 days after changes

13.2 Continued Use = Acceptance

Your continued use of FlowPic.ai after changes are posted constitutes binding acceptance of the revised policy.

If you disagree with changes, your sole remedy is to:

  1. Stop using the platform,
  2. Request account closure (data deletion per GDPR/CCPA), and
  3. Cancel any active subscriptions before the next billing cycle.

13.3 Retroactive Application

Policy changes apply prospectively to new transactions and retroactively to existing subscriptions on their next renewal date.

Exception: Changes to core legal rights (arbitration, governing law) apply only to transactions after the policy update date.


14. Entire Agreement and Severability

14.1 Integration Clause

This Refund Policy, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and FlowPic.ai regarding refunds. It supersedes all prior oral or written agreements.

14.2 Severability

If any provision of this policy is found unenforceable by a court or arbitrator, that provision shall be severed, and the remainder of the policy remains in full effect.

14.3 No Waiver

FlowPic.ai's failure to enforce any provision of this policy does not constitute a waiver of that provision or our right to enforce it in the future.

  2. You explicitly agree to waive statutory withdrawal rights for digital content.
  3. You consent to binding arbitration and waive jury trial rights.
  4. You are at least 18 years old (or the age of majority in your jurisdiction).
  5. You understand that refunds are discretionary, not guaranteed, and subject to strict eligibility criteria.
